3. Eligibility & Scope of Use
The services are intended for business use only.
You represent that you are authorized to enter into contracts on behalf of the business you represent.
Use of the services is restricted to Europe.
4. Accounts & Access
Users are not required to create public user accounts.
Account sharing is not permitted unless explicitly agreed in writing.
NINEAI reserves the right to restrict, suspend, or terminate access if required by law or contract.
5. Payment Terms
5.1 Pricing Model
Services are provided under custom pricing agreements
Billing may occur monthly or yearly, as agreed
5.2 Setup & Trials
A free setup may be offered
Free setup does not constitute a trial of paid services
5.3 No Refund Policy
All payments are non-refundable, unless otherwise agreed in writing
5.4 Failed Payments
If a payment fails, up to three retry attempts will be made
Continued non-payment may result in referral to a collection agency (incassobureau) and service suspension
6. User Responsibilities & Acceptable Use
You agree to:
Use the services lawfully and ethically
Respect intellectual property rights
Not misuse, abuse, reverse engineer, or exploit AI systems
Not upload unlawful, harmful, or infringing content
Not use the services to build or train competing AI models
Not use AI outputs for illegal, high-risk, or prohibited purposes
7. AI Usage Restrictions
Users may not use NINEAI services for:
Illegal automation
Medical, legal, or financial decision-making without qualified human oversight
Surveillance, discrimination, or harmful profiling
Any activity that violates applicable law or third-party rights
8. Intellectual Property
8.1 NINEAI Intellectual Property
All rights to:
Platform software
Branding
Documentation
Underlying systems and workflows
remain the exclusive property of NINEAI.
8.2 Client Content
Clients retain ownership of content they provide
Clients grant NINEAI a limited license to process such content to deliver services
8.3 AI-Generated Outputs
Ownership of AI-generated outputs is shared
Clients may commercialize outputs
NINEAI retains rights to underlying models, logic, and improvements
9. AI Disclaimer
You acknowledge and agree that:
AI outputs are provided “as-is”
Outputs may be inaccurate, incomplete, or biased
AI outputs do not constitute legal, medical, or financial advice
You are solely responsible for how AI outputs are used
NINEAI is not required to provide human review of AI outputs.
10. Availability & Service Changes
Services may be modified, updated, or discontinued at any time
No uptime guarantee is provided
Error-free or uninterrupted service is not guaranteed
11. Limitation of Liability
To the maximum extent permitted by law:
NINEAI disclaims all warranties, express or implied
NINEAI is not liable for indirect, incidental, or consequential damages
Liability is limited to the extent legally permissible
Where liability cannot be excluded, it is limited to the fees paid for the relevant service period, unless otherwise required by law.

12.1 By Client
Clients may terminate by written notice via email or at the end of the contract term
12.2 By NINEAI
NINEAI may terminate or suspend services in case of:
Contract breach
Non-payment
Legal or regulatory obligations
12.3 Data Upon Termination
Data handling after termination is governed by our Privacy Policy.
13. Privacy
Use of the services is subject to our Privacy Policy, which forms an integral part of these Terms.
14. API Usage & Rate Limits
If API access is provided:
Usage is subject to fair use and rate limits
Excessive or abusive usage may result in throttling or suspension
Rate limits may change at any time
15. Governing Law & Jurisdiction
These Terms are governed by the laws of the Netherlands.
Any disputes shall be submitted to the competent courts of the Netherlands, unless mandatory law provides otherwise.
